Documents Required for LLP Registration

Establishing a Limited Liability Partnership (LLP) involves several steps, one of the most crucial being the preparation and submission of the required documents. An LLP structure provides the benefits of limited liability for the partners while allowing them to enjoy the flexibility of organizing their internal structure as a partnership. To ensure a smooth registration process, it is essential to gather all necessary documentation accurately and comprehensively.
1. Partners' Documentation

  • PAN Card: A copy of the PAN Card of all partners is mandatory.

  • Address Proof: Recent utility bills, bank statements, or any other government-issued document showing the residential address of each partner.

  • Identity Proof: A copy of the Aadhar card, passport, voter ID, or driving license of each partner.

  • Passport-sized Photographs: Recent passport-sized photographs of each partner.

2. Registered Office Documentation

  • Proof of Address: A recent utility bill (electricity, water, gas) or a rental agreement for the registered office address.

  • NOC from Property Owner: If the property is rented, a No Objection Certificate (NOC) from the owner stating that they have no objections to the property being used as the registered office.

3. LLP Agreement

  • Draft LLP Agreement: A draft of the LLP agreement detailing the rights and duties of partners, profit-sharing ratio, and other important clauses. This agreement needs to be printed on a stamp paper of appropriate value and signed by all partners.

4. Digital Signatures

  • DSC (Digital Signature Certificate): A DSC for at least one designated partner is required to sign the e-forms electronically. All designated partners must obtain a DSC to authenticate documents submitted online.

5. DIN (Director Identification Number)

  • DIN Application: Application forms for obtaining a Director Identification Number (DIN) for the designated partners.

6. Additional Documents

  • Consent to Act as Designated Partners: A written consent from each partner stating their agreement to act as a designated partner in the LLP.

  • Subscription Sheet: A subscription sheet signed by all partners confirming their intent to form an LLP.

  • Details of Business Activity: A brief description of the business activities to be carried out by the LLP.

  1. Gather Documents: Ensure all the necessary documents are collected, verified, and certified as needed.

  2. Digital Submission: Most of the documentation will be submitted electronically through the Ministry of Corporate Affairs (MCA) portal.
